KCSW By Laws

NAME

ARTICLE I. Name

The name of the organization shall be the Kansas Conference on Social Welfare, Inc.

PURPOSE

ARTICLE II. Statement of Purpose

The purpose of the organization shall be:

A. To increase the competence of practitioners in the human service area and interested citizens about principles and methods of human service practices and current societal and service delivery issues.

B. To promote communication, cooperation, and collaboration between individuals and agencies active in the human services fields in Kansas.

ARTICLE III. Membership

Section 1. Membership

The membership of the organization shall consist of those persons interested in the fields of human services and members of allied groups and professions who are current with dues established by the Board of Directors.

Section 2. Annual Dues

The annual dues of the organization shall be established by the Board of Directors.

Section 3. Membership year

The membership year shall be from July 1st through June 30th.


DISSOLUTION OF CORPORATION

ARTICLE IV. Dissolution of Corporation

Upon the dissolution of this corporation, the Board of Directors shall, after paying or making provisions for payment of the liabilities of the corporation, dispose all of the assets of the corporation exclusively for the purposes of the corporation in such manner or to such organizations organized and operated exclusively for charitable, educational, religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue law), as the Board of Directors shall determine. Any such assets not so disposed of shall be disposed of by the District Court of Shawnee County, Kansas exclusively for such purposes or to such organizations or organizations, as the Court shall determine, which are organized and operated exclusively for such purposes.

OFFICERS

ARTICLE V. Officers

Section 1. Board of Directors


The Board of Directors of the Kansas Conference on Social Welfare, Inc. shall consist of a president, a president-elect, the immediate past president, a vice president, a recording secretary, a registration secretary, a treasurer, such regional representatives as have been certified by the several associations, six (6) members-at- large, chairpersons of standing committees and the editor of the official conference publication.

Section 2. Terms of Office

A. The president-elect shall serve on the board of directors one year and become president the following year. The vice-president and recording secretary shall be elected annually to serve for one year or until their successors are chosen and qualified. The registration secretary and treasurer shall be elected in alternate years for two-year terms and shall serve until the end of the fiscal year.
B. Regional representatives shall be certified annually three days prior to the annual business meeting at which time officers are elected.
C. Each year two of the six members-at-large shall be elected in rotation for a term of three years.

Section 3. Duties

A. Officers shall hold office until their successors are elected and duly qualified.

1. The president shall preside at meetings of the membership, board of directors and shall perform the usual duties of a presiding officer. In addition, the president shall make necessary appointments in accordance with these By- law to carry out the purpose of the organization.
2. The vice president shall preside in the absence of the president, assist the president in the affairs of the organization, and perform such other duties as may be delegated to him or her.
3. The president-elect shall perform such duties as he or she determines will assist her or him in preparing for the role as president.
4. The recording secretary shall be responsible for correspondence, the keeping of minutes of the membership and board of directors, and shall perform such other duties as may be delegated to him or her.
5. The registration secretary shall be responsible for conference registration.
6. The treasurer shall have the custody of all funds and securities of the corporation and shall be responsible for organization payments, periodic reports to the board, and for preparation of the annual financial report and budget.

A. There shall be a report in writing from all standing committee chairpersons pointed during the conference year, and a general report in writing covering the progress of the conference for the current year by the president. These written reports will be available to members upon request.

Section 4. Vacancies and Removal

The Board of Directors has power to fill all vacancies and shall carry out the various functions specified herein and such other functions as are ordinarily performed by governing boards. The Board of Directors may remove from the board or standing committee any persons who, as defined by the board, have failed to be supportive of the Kansas Conference on Social Welfare, Inc.

The Businesses of conference can be conducted by the board members present at any meeting of the board which has been notified ten (10) days prior as to the time and place of the meeting.

COMMITTEES

ARTICLE VI. Committees

Section 1. Standing Committees


A. The president, with the approval of the Board of Directors, shall have power to create standing committees representing various important interests of the field of social welfare, and to suggest lines of significant study, public information, and service to conference members which these standing committees may promote or in which they may be engaged during their tenure.
B. Standing committees may include those designated as program, local arrangements, resolutions, public relations, membership, nominating, exhibits, recruitment, awards, finance, conference evaluation committee, regional associations and such other committees as may be created under this article.

Section 2. Temporary Committees

The president shall have power to name such a temporary committee as may be deemed necessary to complete a specific assignment.

Section 3. Powers

No committee or member shall have power to enter into agreement or contract or otherwise obligate or represent this conference except by virtue of authority derived from the By-laws or especially conferred by the Board of Directors.

NOMINATING COMMITTEE

ARTICLE VII. Nominating Committee

Section 1. The nominating committee shall consist of five members and shall be elected at the annual meeting by the members of the conference. In odd numbered years, the conference will elect three members for a two-year term; and in even numbered years the conference will elect two members for a two-year term.

Section 2. The chairperson of the nominating committee shall be appointed by the incoming president at the first board meeting following conference from the senior nominating committee members.

Section 3. The nominating committee shall nominate two persons, each of whom must be a member of the conference at the time of nomination, for each of the following offices; President-elect, vice-president, recording secretary, registration secretary, treasurer, and such members-at-large of the board of directors as may be needed to fill regular vacancies under the provisions of the by-laws.

Section 4. The nominating committee shall prepare a slate which shall be published in an official conference publication not less than sixty days prior to the date of the election, having first secured the consent of the nominee to serve. The date of the election shall be fixed annually by the Board of Directors.

Section 5. The nominating committee shall prepare ballots, arrange for their printing, collection and counting, as limited by Article VIII.

BALLOTS AND ELECTIONS

ARTICLE VIII. Ballots and Elections

Ballots for the election of officers, members-at-large of the Board of Directors and members of the nominating committee shall be issued to each member of the Kansas Conference of Social Welfare, Inc. Said ballots shall be accompanied by instructions that said ballots shall be voted and returned to such place and such time as shall be designated by the Board of Directors.

RULES OF ORDER

ARTICLE IX. Rules of Order

Robert's Rules of Order shall prevail at all meetings of this conference and of its Board of Directors, and shall govern all matters of procedures not specifically covered by these by-laws.

FINANCE

ARTICLE X. Finance

Section 1. Fiscal Year

The fiscal year of this conference shall be from July 1 to June 30.

Section 2. Budget

The Board of Directors shall make the budget of the organization, provide ways and means of financing its activities, fix the amount of registration and other fees and may employ as a part-time or full-time executive secretary who shall perform such duties as prescribed by the board.

ANNUAL MEETING

ARTICLE XI. Annual Meeting

The annual meeting of the Kansas Conference of Social Welfare, Inc. shall be held at the time and place selected by the Board of Directors.

AMENDMENTS

ARTICLE XII. Amendments

The by-laws may be amended by a majority vote of the members present at any annual meeting, provided such amendments have been acted upon favorably by the Board of Directors, or is in the form of a petition signed by not less that fifty conference members. In either case, the amendment must be submitted in writing to the conference membership at least thirty (30) days before the vote is taken.

EQUIPMENT

ARTICLE XIII. Equipment

An inventory of significant equipment owned by the conference shall be maintained by the Treasurer.
